This Affiliate Agreement (the "Agreement") is between SHEISONDEMAND.IO ("Company"), with its principal place of business at [Address], and the individual or entity applying to participate in the Company’s affiliate program ("Affiliate"). By enrolling in the affiliate program, the Affiliate agrees to the terms outlined herein.
1. Enrollment and Acceptance
1.1Application and Approval
To become an Affiliate, you must complete and submit the application form available on the Company’s website. The Company reserves the right to approve or reject any application at its sole discretion. Approval is contingent upon the Affiliate’s adherence to this Agreement’s terms.
1.2 Termination of Enrollment
The Company may terminate the Affiliate's participation at any time, with or without cause, and with or without notice. Upon termination, the Affiliate must cease all promotional activities and remove all Company-related materials from their platforms.
2. Commission Structure
2.1 Commission Rate
The Affiliate will earn a commission of 40% on the membership fees paid by customers referred by the Affiliate.
2.2 Payment Terms
Commissions will be paid only after the referred customer’s initial payment following the 30-day free trial. Commissions will be calculated monthly and paid at the end of each month. Payment will be made via the preferred method selected by the Affiliate in the affiliate portal.
2.3 Minimum Payout Threshold
A minimum payout threshold of [Amount] must be reached before commissions are disbursed.
3 Promotional Guidelines
3.1 Use of Marketing Materials
The Company will provide marketing materials, including banners, logos, and text links. These materials are to be used exclusively for promoting SHEISONDEMAND.IO. The Affiliate may not repurpose these materials for personal use, email marketing, presentations, social media, or any other unauthorized use.
3.2Prohibited Practices
Affiliates must not engage in deceptive, misleading, or unethical practices, including spamming, misrepresenting Company services, or using false information. Affiliates must adhere to all applicable laws and regulations in their promotional activities.
4. Intellectual Property
4.1 License Grant
The Company grants the Affiliate a non-exclusive, non-transferable, revocable license to use its trademarks, trade names, service marks, and other intellectual property solely for the purpose of promoting SHEISONDEMAND.IO in accordance with this Agreement.
4.2 Ownership
All intellectual property rights and interests in the Company’s materials remain the exclusive property of the Company. The Affiliate must not modify, alter, or use the Company’s materials beyond the scope of this Agreement.
5. Confidentiality
5.1 Confidential Information
The Affiliate agrees to keep all confidential information, including business strategies, customer data, and financial information, in strict confidence. Such information may not be disclosed to any third party without the Company’s prior written consent.
5.2Survival
The obligations of confidentiality shall survive the termination of this Agreement.
6. Indemnification
6.1 Indemnity
The Affiliate agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to the Affiliate’s participation in the program or any breach of this Agreement.
7. Limitation of Liability
7.1 Liability Limit
The Company’s liability for any claims arising under this Agreement shall be limited to the amount of commissions paid to the Affiliate in the six months preceding the claim.
8. Governing Law and Dispute Resolution
8.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
8.2 Dispute Resolution
Any disputes arising out of or related to this Agreement shall be resolved exclusively in the courts located in Tampa, Florida.
9. Modifications
9.1 Amendments
The Company reserves the right to modify the terms of this Agreement at any time. Affiliates will be notified of any changes, and continued participation in the program constitutes acceptance of the revised terms.
